This Agreement shall be governed by and construed in accordance with the laws of the United States, and does not take into account the principles of conflict of laws. Any legal action or proceeding arising under this Agreement shall be commenced only in a court of competent jurisdiction in the United States.

No waiver of any term of this Agreement shall be construed as a further or continuing waiver of such term or any other term. Any failure by BUILDVIDS to exercise any right or provision under these Terms shall not be construed as a waiver of any such right or provision.

1.6 Completion: Agreement
This Agreement, together with the Privacy Policy and any other legal notices or agreements posted by BUILDVIDS on the Forums, constitutes the entire agreement between you and BUILDVIDS with respect to its subject matter specified herein. And that agreement still stands.

2. Eligibility

2.1 Minimum Age Requirement
In order to use the Platform, You need to be at least 13 (13) years of age. By gaining access to or using the Platform, You represent and warrant that You are at least thirteen years old. If You are under the age of thirteen, You are not permitted to access or use the Platform, and You must immediately stop any use of the Platform. If you are found to have violated any term of this Agreement, including but not limited to failure to comply with the Terms or providing false or misleading information during registration, BUILDVIDS may, in its sole discretion, suspend or terminate your account for any conduct that is harmful to the Platform, its users, or others. If your account is suspended or terminated, you will not be able to access or use the Platform, unless otherwise authorized by BUILDVIDS.

2.5 Account Security
You are solely responsible for maintaining the confidentiality of your account, including your username and password. You agree to immediately notify BUILDVIDS of any unauthorized access or use of your account or any other breaches of security. BUILDVIDS will not be liable for any loss or damage arising from your failure to protect your account information. You must ensure that you log out of your account at the end of each session.

2.6 Account Transfer
Your account belongs to you and may not be transferred, sold, or assigned without BUILDVIDS prior written consent. You may not allow others to access your account or grant them access.

3. Account Registration

3.1 Account Creation and Access
Although you can watch videos on the BUILDVIDS platform without registering an account, you must create an account to upload, share, or interact with content on the platform. To create an account, you must provide current, up-to-date, and complete information during the registration process. You agree to promptly update all information that is inaccurate or out of date. Failure to provide current information may result in suspension or termination of your account.

3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to take all necessary measures to protect your account information from unauthorized access, and you accept full responsibility for all activities that occur under your account, whether or not they have been authorized by you. You agree to immediately notify BUILDVIDS of any unauthorized use of your account or any other breach of security.

3.3 Prohibited Account Activities
You agree not to use the Platform for any illegal purposes, participate in illegal activities, or allow others to use your account. Additionally, you may not attempt to gain unauthorized access to any part of the Platform. This includes user accounts or other systems or networks connected to the Platform.

By uploading content, you grant BUILDVIDS a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, distribute, display, reproduce, modify, and create derivative works from the content for the purpose of driving, promoting, and improving the Platform. This license includes the right to display the content on the Platform and in all advertising or marketing materials related to BUILDVIDS.

4.2 Ownership and Warranty of User Generated Content
You represent and warrant that:
a. You are the owner of the content or have received all necessary rights, licenses, and permissions to upload the content. This includes all relevant rights for third-party content included in the video (e.g., music, video clips, etc.).
b. The content does not infringe any intangible rights, personal rights, or other legal rights of third parties, including but not limited to copyright, trademark, or the right to publish.
c. The content does not violate any applicable laws. This includes, but is not limited to, copyright infringement, defamation, harassment, or the transfer of any content or supporting materials.
d. The content complies with all applicable terms of use of third-party platforms, including YouTube and Vimeo, from which videos can be downloaded.

4.3 Prohibited Content
You may not upload or distribute content that is:
a. Illegal, threatening, abusive, harassing, intimidating, defamatory in any way, or otherwise objectionable as determined by BUILDVIDS.
b. Harmful to the reputation or intellectual property of BUILDVIDS or other users.

4.4 Reviewing and Deleting Content
BUILDVIDS reserves the right, but not the obligation, to monitor, review, or remove any content uploaded to the Platform at its sole discretion. This includes statements that BUILDVIDS believes, in its reasonable judgment, to violate these Terms, affect the integrity of the Platform, or violate the rights of third parties. BUILDVIDS may remove content at any time without notice or liability.

4.5 User Conduct
You agree to use the Platform in a responsible manner that respects applicable laws and these Terms. Specifically, you agree not to do anything that:

The laws of the United States shall apply to all matters arising out of or in connection with these Terms and Conditions, regardless of your location.

11.2 Exclusive Jurisdiction
You agree that any legal action or proceeding arising under this Agreement, including but not limited to any disputes related to your use of the Platform, shall be exclusively brought in the courts located within the United States. By accessing or using the Platform, you consent to the exclusive jurisdiction and venue of such courts.
